What it is
What Form 1065 is for
Form 1065 is the annual information return of a partnership, including an LLC with two or more members that hasn't elected corporate treatment. The partnership generally pays no income tax; it reports income and deductions and gives each partner a Schedule K-1. The PDF on irs.gov today is the tax-year 2025 edition, and the 2026 form usually appears in December–January. A calendar-year 2026 return and the K-1s are due March 15, 2027, or September 15, 2027 with Form 7004.

How to fill out Form 1065
- 1
Check the year first
The current PDF says “For calendar year 2025.” Use it for a 2025 return. For a calendar-year 2026 return, wait for the 2026 Form 1065.
- 2
Header — items A to K
Enter the principal business activity and product (A, B), business code (C), EIN (D), date the business started (E) and total assets (F). Check G for initial, final, amended, name or address changes, H for the accounting method, and enter the number of K-1s in I.
- 3
Income — lines 1a–8
Include only trade or business income and expenses on lines 1a–23. Enter receipts, cost of goods sold, ordinary income from other partnerships, farm profit and Form 4797 gains. Line 8 is total income.
- 4
Deductions — lines 9–23
Line 9 is salaries to employees (not partners) and line 10 guaranteed payments to partners. Add repairs, rent, taxes, interest, depreciation and other deductions; line 23 is ordinary business income or loss.
- 5
Tax and payment — lines 24–32
Most partnerships leave these blank. They cover look-back interest, the BBA imputed underpayment, other taxes, payments and a refund by direct deposit (lines 32b–32d).
- 6
Schedules B, K, L, M-1, M-2
Answer every Schedule B question. If question 4 is “Yes” (receipts under $250,000, assets under $1 million, K-1s furnished on time, no Schedule M-3), skip Schedules L, M-1 and M-2, item F and K-1 item L.
- 7
Schedules K-1
Prepare one K-1 per partner with their share of each Schedule K item and their capital account on the tax-basis method. Attach copies to the return and give each partner theirs.
- 8
Sign
A partner or LLC member signs and dates the return. Without that signature, the instructions say Form 1065 isn't considered a return.
Common Form 1065 mistakes
- Filing an unsigned return: Form 1065 isn't considered a return unless a partner or LLC member signs it.
- Reporting guaranteed payments to partners as salaries on line 9 instead of line 10.
- Entering the TIN of a disregarded entity as a partner's TIN on a K-1 instead of the owner's SSN, ITIN or EIN.
- Missing the K-1 deadline or leaving required K-1 information out, which can bring a penalty per K-1.
- Mailing a paper return when the partnership has more than 100 partners or files 10 or more returns and must e-file.
Where to send it
Partnerships must e-file Form 1065 if they have more than 100 partners or file 10 or more returns of any type during the tax year; a hardship waiver can be requested. Paper returns go to Kansas City or Ogden depending on the state and total assets; with Schedule M-3 they must go to Ogden: https://www.irs.gov/filing/where-to-file-your-taxes-for-form-1065. A calendar-year 2026 return is due March 15, 2027 (September 15, 2027 with a timely Form 7004).

Form 1065: questions people ask
Which year is this Form 1065 for?
The PDF on irs.gov today is the 2025 form, for calendar year 2025 and fiscal years that begin in 2025. The 2026 version usually appears in December–January; PDFBetter opens the edition irs.gov posts when you open it.
What is the late-filing penalty?
The 2025 instructions (for returns filed in 2026) set it at $255 for each month or part of a month, up to 12 months, times the number of people who were partners during the year. The 2027 amount will be in the 2026 instructions when they're posted.
Does a two-member LLC file Form 1065?
Yes, unless it filed Form 8832 to be taxed as a corporation (or elected S status). The instructions say a domestic LLC with at least two members that doesn't file Form 8832 is classified as a partnership.
Who signs Form 1065?
Any partner or LLC member. For an entity partner, an individual authorized under state law to act for it signs. A receiver, trustee or assignee signs when filing for the partnership.
We have 12 partners. Can we file on paper?
Only if the partnership files fewer than 10 returns of any type during the year, counting information returns such as W-2s and 1099s, and its K-1s. The more-than-100-partners rule is a separate trigger that always requires e-filing.
Can I fill the K-1s from a spreadsheet?
Yes. With one row per partner, Fill PDF from Excel fills a copy of Schedule K-1 for each row. Check every K-1 against Schedule K before you send it.
