How to fill out the Mutual Non-Disclosure Agreement (NDA)
- 1
Enter both parties
The form calls them Party A and Party B because obligations run both ways. Use full legal names.
- 2
State the purpose
Keep it narrow, such as "evaluating a possible reseller agreement". The purpose limits how the receiving party may use information.
- 3
Set the confidentiality period
Enter the number of years the duty lasts. Trade secrets stay protected for as long as they remain trade secrets, regardless of this number.
- 4
Choose the governing state
Pick the state both parties accept. Many choose the state where one party is headquartered.
- 5
Sign for each party
The person signing must have authority to bind the company. Add their title in the printed-name line.

Mutual Non-Disclosure Agreement (NDA): questions people ask
Does an NDA need to be notarized?
No. NDAs are ordinary contracts and are normally valid when signed by both parties without a notary or witness.
Is an e-signed NDA valid?
In the US, e-signatures on commercial agreements like NDAs are generally valid under the ESIGN Act and state UETA laws. Keep the signed PDF and the signing record.
When should I use a one-way NDA instead?
If only one side is sharing secrets, such as a founder pitching to a contractor, a one-way NDA is simpler and puts duties only on the receiving party.
Can an NDA stop someone from reporting illegal conduct?
No. US federal law protects whistleblower disclosures to government agencies, and several states restrict NDAs that hide harassment or discrimination. This template includes a carve-out for legally protected disclosures.
What happens to shared documents at the end?
On request, the receiving party must return or destroy confidential materials, except copies kept in routine backups or required by law, which stay confidential.
