Instructions

How to fill out the Service Agreement

  1. 1

    Identify both parties

Enter the client and provider exactly as they appear on business registrations or IDs. For a company, use its full legal name, including LLC or Inc.

  2. 2

    Describe the services

In the Services box, list tasks, locations, schedules and deliverables. Anything not listed is outside the agreement, so be specific about what is excluded too.

  3. 3

    Set fees and payment timing

Choose a fee basis, enter the amount and how often you invoice, and set the number of days the client has to pay. Leave the late fee blank if you will not charge one.

  4. 4

Choose the term and notice period

Enter the start date, an end date if the engagement is fixed, and the number of days' written notice needed to end it early.

  5. 5

    Pick the governing state

Usually the state where the services are performed or where the provider is based. Both parties should agree before signing.

  6. 6

    Sign

Each party signs, prints their name and dates the signature. Use Request signatures to collect the other party's signature by email.

Service Agreement: questions people ask

Is a service agreement enforceable without a notary?

Most service contracts do not need notarization or witnesses to be enforceable in the US. What matters is that both parties agreed to clear terms and signed. A lawyer can confirm whether your industry or state adds requirements.

Can we sign this electronically?

Generally yes. The federal ESIGN Act and the Uniform Electronic Transactions Act adopted by most states treat electronic signatures on ordinary business contracts like handwritten ones.

How is this different from an independent contractor agreement?

A service agreement focuses on the work and the price, and suits companies selling a service. An independent contractor agreement adds worker-classification, tax and equipment terms for an individual who could otherwise look like an employee.

What if the scope changes halfway through?

Write the change down and have both parties sign it, as the Entire agreement clause requires. A short signed change order that refers to this agreement by date is usually enough.

Do state laws change anything?

Yes. Some states regulate late fees, limit non-solicitation clauses, or require specific licenses for services such as home improvement. Check the rules for the governing state before relying on those terms.
