Sales Agreement
For a seller and buyer agreeing on a sale of goods to be delivered later, such as equipment, inventory or custom-made products. For a simple hand-over of one item on the spot, a bill of sale is usually enough.

Sales Agreement: questions people ask
What law covers a sale of goods?
In the US, sales of goods are mainly governed by Article 2 of the Uniform Commercial Code as adopted in each state. Article 2 generally requires a signed writing for sales of $500 or more.
Is this the same as a bill of sale?
No. A sales agreement sets the terms of a future sale and delivery. A bill of sale is a receipt that transfers title once the goods are handed over.
Can I sell goods as is?
Between businesses, usually yes if the disclaimer is clear. Consumer sales may be subject to state rules that limit disclaiming implied warranties.
Do we need a notary?
Not for an ordinary sale of goods. Vehicles, boats and real property have separate title and recording rules. E-signatures are generally accepted for this agreement.
